PLEASE READ THESE FOLLOWING TERMS OF USE CAREFULLY BEFORE USING THE WEBSITE. If you do not agree or read them, you may not use this website or material.
(1) Introduction:
“Dean Philanthropy Advisors LLC” (hereafter and elsewhere referred to as “Dean”, “Dean Philanthropy Advisors”, “Dean Donor”, “we”, “us”).
All website visitors and purchasers (hereafter referred to as “User”, “Users”, “Customer”, “you”, “visitor”, “member”)
(2) Privacy Policy:
Dean takes all users and donors’ privacy extremely seriously. See the privacy policy here. By using this site, you also agree to the privacy policy.
(3) Changes to Terms:
Dean reserves the exclusive right, at its sole discretion, to update or modify these terms and conditions, including any other policies, procedures, or related documents. Such changes will take effect immediately upon being posted on the platform. It is your responsibility to frequently review these terms to stay informed of any modifications. Your continued use of the platform following the posting of revised terms signifies your acceptance of those changes, and you agree to be bound by the then-current terms.
(4) Mutual Understanding and Agreement:
By accessing and using this website, you acknowledge and agree that these Terms of Use represent a mutually beneficial arrangement. Your access to the website, along with the information, materials, and data it offers, is provided to you in exchange for your acceptance of these terms. This agreement outlines the rules and conditions governing your use of the website, ensuring a fair and valuable exchange for both parties.
(5) Acceptance of Terms:
By using, viewing, or visiting this website, or any of its materials; purchasing the courses; or paying a membership, users agree to abide by all these terms and conditions, including the Cancellation and Refund Policy stated in Section 9. You agree to accept and sign these terms electronically. You agree that you have carefully read and do accept everything in its entirety. You acknowledge that you have the authority to make this binding agreement. You agree that everything is subject to copyright including blogs, trainings, public and nonpublic information, videos, images, quizzes, anything written or coded, any of the emails or communications, the mediums of communication, content, etc. Agree that by purchasing, using, accessing, engaging us in communication, or any other action prompted by Dean, you will allow us to satisfy any laws and requirements; and that you will not put Dean in a position that potentially violates any compliance, laws, or binding agreements.
When a user makes a purchase, a visitor accesses the website, or you use or access the material, you acknowledge and consent to share your information with Dean.
(6) Authorized Users
This section outlines who is considered an "Authorized User" and specifies the eligibility criteria and obligations for users of the service.
Definition of Authorized User:
An "Authorized User" refers to any individual who meets the eligibility criteria specified in this section and agrees to abide by these Terms and Conditions.
Eligibility Criteria:
The services provided by Dean are exclusively available to individuals who meet the following criteria:
Age Restrictions:
Users must be of legal age in their respective jurisdiction to access and use the service. No one may use or purchase the service under the age of 18. The use of the service by individuals under the age of 18 must be done with the permission, parental consent, and supervision of a parent or legal guardian who has also agreed to these Terms and Conditions and complies with applicable laws.
Private Use of Content:
All information, including courses, videos, reading material, and books provided by Dean, is intended solely for the person who purchased it. Users are strictly prohibited from sharing, recording, reproducing, or distributing any of Dean's products.
Assumption of Risk:
Users agree to use the service at their own risk and acknowledge that no third parties, including family members, business associates, or charities, have any rights in relation to their relationship with Dean. Users understand that they are solely responsible for any consequences of actions taken based on the information provided by Dean.
Account Security and Unauthorized Access:
Users are responsible for any activity that occurs on their account, whether authorized or unauthorized. In the event of an account compromise, users agree to notify Dean in writing immediately.
Intended Users:
This website is intended for and directed at users within the United States. Dean does not represent that the content or services offered on the website are appropriate for or available to users in other locations. Users attempting to purchase or use the service from locations outside the United States do so at their own risk and assume full responsibility for compliance with local laws and regulations, both in accessing, purchasing, and using the service, as well as regarding all matters related to donations, accounting, finances, and legality.
Forbidden Users:
Membership or access to the service is strictly prohibited for individuals who are members of terror groups or located in countries subject to a U.S. Government embargo or designated as terrorist-supporting countries.
(7) Binding Arbitration
All disputes, claims, controversies, or differences arising between you and Dean, its officers, directors, employees, or any affiliate in connection with the Services or otherwise regarding the relationship of the parties by virtue of these Terms (including any alleged breach thereof) (hereinafter referred to as "Dispute"), that cannot be amicably resolved, shall be finally settled in accordance with the Commercial Arbitration rules and regulations of the American Arbitration Association ("AAA") then in effect. The arbitration shall be administered by AAA in New York City ("NYC"). The arbitrator(s) to be appointed shall be English-speaking persons. The arbitrator(s) shall have the power to extend the time for pronouncing the award with the consent of the parties. The arbitrator(s) shall have the authority to award any and all remedies and relief that are deemed appropriate under the circumstances, including, but not limited to, money damages and injunctive relief. This arbitration provision shall be self-executing and shall remain in full force and effect after the expiration or termination of these Terms. In the event any party fails to appear at any arbitration proceeding, an award may be entered against such party by default or otherwise, notwithstanding said failure to appear.
You and Dean agree to WAIVE YOUR RIGHT TO A TRIAL BY JURY and your right to go before a judge to the fullest extent permitted by law, and you understand that absent this provision, you would have the right to sue in court and have a jury trial.
Choice of Law
These Terms and your use of the Services shall be governed by and construed and enforced in accordance with the laws of the State of New York, without regard to conflicts of laws provisions.
Force Majeure
Neither party will be responsible for the failure to perform any obligation under these Terms due to causes beyond the reasonable control of such party, including but not limited to strikes, lockouts, riots, epidemics, war, government regulation, fire, flood, natural disasters, Acts of God, or inadequacies of equipment, or other causes beyond the reasonable control of such party.
Injunctive Relief
The above Arbitration provisions shall not apply to Dean's right to commence an action at any time in a court of law to seek immediate INJUNCTIVE RELIEF against you to protect Dean's rights or interests.
Applicable Laws
Your use of the Services and the resolution of Disputes shall be governed in all respects by the laws of the State of New York, without regard to choice of law provisions. You agree that jurisdiction over and venue in any Dispute that is not subject to the Arbitration provisions above or is found by a court of law to not be subject to the Arbitration provisions shall be in the federal and state courts located in and serving New York City, New York, to the exclusion of all other forums. Any cause of action or claim you may have with respect to the Services must be commenced within one (1) year after the claim or cause of action arises, except for matters that may be taken to SMALL CLAIMS COURT.
General Provisions
Revisions to the Terms: We reserve the right to revise these Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes.
Severability; Waiver: If any provision of these Terms is held invalid or unenforceable, that provision will be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of those rights.
Content Providers: Our Content Providers and integrated service providers are third-party beneficiaries of these Terms and may enforce those provisions of the Terms that relate to them.
Notice for California Users: Under California Civil Code Section 1789.3, California website users are entitled to specific consumer rights notice.
(8) Course Description:
There are 15 courses offered. They vary in length and design. Depending on how much time the user puts in or has available, they may be completed in days, weeks, or months.
User recognizes and understands that the courses are not considered college or professional credit. Images are for illustrative purposes only and may not reflect the actual course. Future courses may be added at Dean’s discretion and timing. Courses may be amended at Dean’s discretion. Anything from prices, features, design, courseware, course curriculum, descriptions, marketing, free features, paid features, delivery, duration, instructors, clips, length, layout, course names, supplementals, etc. may be updated at any time without notice at Dean’s sole discretion.
Course content is only accessible online and cannot be downloaded. Users do not have lifetime access to purchased courses; access is granted only for the duration of the active subscription. Once your membership ends, access to the course content will be terminated. Please ensure that you securely store any personal notes or information during your active membership if you intend to use it after membership termination.
(9) Pricing and Payment:
Pricing Structure:
You acknowledge and agree to our pricing structure, which offers "Premium" Membership: Priced at $999 per year and includes two one-hour advising sessions. Membership also available for gifting.
Services:
In addition to training courses, Dean offers philanthropy advising services. Typically, these services will start with a discussion, offer a custom quote, and be followed with a signed agreement.
Taxes:
You agree that your order may be subject to additional charges, such as local, state, federal, or international taxes, which will be applied to the total amount.
Payment Information:
By providing payment information, you confirm that all details are accurate and that you are the authorized user of the provided payment method.
Payment Method and Responsibility:
Your selected payment method will be used for your initial purchase and subsequent subscription renewals, including any applicable taxes and fees. It is your responsibility to ensure that your payment information is up-to-date and sufficient to cover these charges.
Gifted Memberships:
Gifted memberships are intended solely for the designated recipient and do not grant the purchaser access to training programs or materials. You agree and understand that the recipient must accept our Terms and Conditions before gaining access. Sharing login information is strictly prohibited, and any unauthorized use will result in termination of access.
Other Services:
For any additional services requiring separate agreements, you affirm that you are still bound by these terms and conditions.
Advising Sessions:
Advising sessions offer flexibility but are subject to availability. You acknowledge that these sessions do not follow a prescribed format and can be used according to your specific needs. It is important to adhere to scheduled session times, even in cases of user tardiness.
Membership Expiration and Renewal Responsibility:
Your premium membership will by default automatically renew after one year unless you turn it off under “My Account.” Upon expiration, access to training courses, the training portal, e-books, reading sections, quizzes, writing sections, and other materials will be revoked. It is your responsibility to maintain access; discontinue auto-renewal prior to the renewal date; or to save any of your work prior to losing access.
Cancellation and Refund Policy:
In the event of membership cancellation, you will retain access until the end of the current subscription period, after which access will be terminated. Dean reserves the right to adjust fees as needed. All sales are final. Refunds are not typically available. In exceptional cases, such as technical issues with the platform, refunds may be granted at Dean's discretion. If you encounter technical issues, please contact help@deandonor.com for assistance. Dissatisfaction with course content alone is not a valid reason for a refund.
Requesting a Refund:
Should you wish to apply for a refund, you must submit a request within 30 days of your purchase via email to support@deandonor.com, using "Request Return" as the subject line. Please provide detailed reasons for your refund request. If your request is approved, refunds will be processed within a few weeks, depending on your financial institution's processing time.
(10) Registration and Account Information:
Requirements:
To create an account, users must provide accurate information, including a valid email address and password during the sign-up process. By registering, users confirm that all provided information is current, complete, and accurate. It is the user's responsibility to ensure that their membership status remains active to access various resources such as trainings, videos, courses, ebooks, quizzes, reading materials, writing assignments, or other information.
Registration:
Users can create an account either by completing the registration process during checkout (and adding some additional info after the purchase); or by clicking "log in" at the top right of the homepage menu bar. If users are receiving a "gift" membership from another person, they will receive an initial welcome email directing them to register, create an account, and set a password. Gift account recipients must also accept the terms and conditions and the privacy policy before gaining access. For any registration-related issues, users can contact support@deandonor.com.
Password:
In case users forget their password or require assistance in resetting it, they can utilize the password recovery and reset functionality by clicking here. If users find themselves locked out, forget their email address, or encounter any other account-related issues, they should promptly contact support@deandonor.com with the subject line "Account/Password."
Compromised Accounts:
Users must immediately notify Dean via email at support@deandonor.com if they suspect that their account, information, or device has been compromised. Examples of compromised accounts include unauthorized access, suspicious activity, or any security breach. Prompt reporting enables Dean to take necessary measures to safeguard user accounts and information.
Security:
Dean prioritizes the security of both users and visitors. While every effort is made to protect user accounts and information, Dean cannot guarantee the security of devices, passwords, or other information. Users acknowledge and accept that there are inherent risks associated with online activities, and Dean cannot prevent all unauthorized access or breaches. If users believe that their accounts, devices, or information have been compromised, they should immediately contact support@deandonor.com. By agreeing to these terms, users commit to taking reasonable precautions to safeguard their information and devices from unauthorized access or use. Users understand and accept any potential damages that may arise from failure to uphold these security measures, including but not limited to reputational harm, financial loss, or other adverse consequences.
(11) Access, Usage, and User Content:
Acceptable Use:
Illegal, harmful, abusive, annoying, harassing, or any behavior and content that violates the law is strictly forbidden on the Dean platform. The information and materials provided on the platform should not endorse or encourage any illegal or non-compliant activities, both on and off the platform. Users are expected to comply with all relevant laws and regulations, including but not limited to those governing all forms of donations and tax reporting.
Noncommercial Use:
Dean's services are intended for personal, non-commercial use only. Any form of commercial use requires explicit permission from Dean and is prohibited without such permission.
User Responsibilities:
Users are responsible for complying with all applicable laws and regulations while using the Dean platform. This includes, but is not limited to, accurately reporting their donations, ensuring compliance with tax laws, and adhering to all legal and fiduciary responsibilities.
Responsibility for Donations:
Users are solely responsible for their donations, including the efficacy, impact, results, personal satisfaction, consequences, accuracy of reporting, and compliance with legal and tax obligations. If users desire anonymity for donations, they are solely responsible for maintaining it.
Prohibited Activities:
While using the service, you may not:
Access on a Temporary Basis:
Users are granted access to our platform on a temporary basis, and Dean reserves the right to revoke access at any time and for any reason.
Internet Access and Technology:
Users are responsible for ensuring they have access to the internet and the appropriate technology and devices required to use our platform. They must also implement necessary security measures to protect their account and personal information.
Report and Pay Taxes:
Users should report their donations and related activities in compliance with all governing laws and regulations, and they are responsible for any associated tax obligations. Dean does not provide tax advice, and users should consult with tax professionals for guidance on tax matters related to their donations.
User Content:
Dean offers various interactive features, including messages, chat, account
profiles, training portal, and other interactive features, collectively
referred to as "Interactive Services," enabling users to post,
submit, display, or transmit content or materials, hereinafter referred to
as "User Contributions," on the Dean platform.
Users retain ownership of the User Contributions they create. However, after your subscription ends, you will no longer have access to your User Contributions through the Dean platform. While you maintain ownership, Dean retains a perpetual, non-exclusive license to use, display, and distribute your content within the platform, even after the termination of your subscription. If you wish to retain copies of your User Contributions, ensure you have securely stored them before your subscription ends, as they will become inaccessible afterward.
Ownership and Non-Confidentiality:
By submitting User Contributions, you acknowledge and agree that such contributions are non-confidential and non-proprietary. While you retain all intellectual property rights to your User Contributions, you grant Dean, its affiliates, service providers, and their respective licensees, successors, and assigns a worldwide, irrevocable, royalty-free, fully-paid, non-exclusive license to use, reproduce, modify, adapt, translate, distribute, publicly perform, publicly display, create derivative works from, and otherwise utilize your User Contributions in any media, format, or technology, whether known now or developed in the future, for any purpose, without providing compensation to you. This license also includes the right for Dean to sublicense your User Contributions to its content providers and partners.
Representations and Warranties:
When submitting User Contributions, you represent and warrant that:
User Ownership and Access:
Upon the end of your subscription, you may lose access to material associated with your User Contributions. However, the ownership rights of your User Contributions remain with you. Dean does not claim ownership of your User Contributions but retains a perpetual, non-exclusive license to use, display, and distribute your content within the platform, even after the termination of your subscription.
Feedback:
We encourage you to share your feedback regarding your experience, request courses, or suggest areas you believe should receive more attention. To submit feedback, please email support@deandonor.com with the subject line "Feedback."
Grant of License:
By submitting User Contributions, you grant Dean an irrevocable, worldwide, royalty-free, fully-paid, non-exclusive license, including the right to sublicense, to use, display, reproduce, modify, or distribute the User Contributions in any media, format, or technology, whether now known or developed in the future, for any purpose, without providing compensation to you.
Copyright and Ownership:
You acknowledge and agree not to violate the copyright, trademark, or intellectual property rights of others.
Content Moderation and Removal:
Dean reserves the right to monitor, review, edit, or remove User Contributions without prior notice if they violate these Terms and Conditions, our Content Standards, or applicable laws and regulations. Dean is not responsible or liable for the accuracy or credibility of any User Contributions.
Right to Preserve and Disclose:
Dean may preserve User Contributions and may disclose them if required by law or in good faith belief.
(12) Intellectual Property:
(12a) Copyright:
ALL CONTENT, MATERIALS, AND INTELLECTUAL PROPERTY FEATURED ON THIS WEBSITE, INCLUDING BUT NOT LIMITED TO OUR TRAINING COURSES, VIDEOS, WEBSITE CONTENT, EBOOKS, SLOGANS, TECHNOLOGY, SOFTWARE, CODING, SUPPORT INFRASTRUCTURE, AND DESIGN ELEMENTS ARE PROTECTED BY COPYRIGHT, INTELLECTUAL PROPERTY LAWS, AND INTERNATIONAL TREATIES. DEAN IS THE EXCLUSIVE OWNER OF THESE MATERIALS, EXCEPT FOR THIRD-PARTY CONTENT EXPLICITLY IDENTIFIED AND PROPERLY ATTRIBUTED, AND ANY UNAUTHORIZED USE IS STRICTLY PROHIBITED. Dean actively monitors and enforces its intellectual property rights. Without our express written permission, you may not reproduce, distribute, modify, display, transmit, exploit, publish, or create derivative works from any of the protected elements. This includes our brand name, service names, slogans, and design elements. Any unauthorized use will be subject to legal action.
(12b) Trademark:
Dean and its affiliates own registered and unregistered trademarks for all products, program materials, presentations, names, and wordings associated with our services. Additionally, third-party trademarks featured on our platform are owned by their respective owners and are used with permission. Any use of these trademarks without prior written permission is prohibited.
(12c) Proprietary Rights:
You agree not to share, reproduce, or disseminate any proprietary information related to our courses, materials, website, or any communication with Dean. This includes but is not limited to sharing login credentials, course content, videos, readings, screenshots, course descriptions, teaching methods, and any information about the courses' structure, delivery methods, or technology. You are expressly prohibited from recording, publishing, or transmitting any material from the website or any communication with Dean without our prior written consent.
(12d) Procedure for Making Claims of Copyright Infringement:
Dean respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. If you believe that your copyrighted work has been used on our website in a manner that constitutes copyright infringement, please provide the following information:

(12e) Confidentiality:
You agree to treat as confidential any proprietary information, trade secrets, or other confidential information disclosed to you by us in connection with the Services, including any User Contributions that become part of the platform's content. Dean retains a perpetual, non-exclusive license to use, display, and distribute User Contributions within the platform, even after the termination of your subscription, while ownership rights remain with the user.
This information includes, but is not limited to, our curriculum, content, training materials, structure, delivery methods, marketing strategies, client lists, and any other information related to our business operations. You agree not to disclose or use such confidential information for any purpose other than as necessary to utilize the Services.
This obligation extends to any information, design, working, service, look and feel, derivatives, anything substantially similar, or intellectual property belonging to Dean, regardless of whether it is related to philanthropy, donors, or fundraising.
You agree not to directly or indirectly create, develop, offer, market, or sell any online training courses or materials that are substantially similar to or competitive with the Services.
This provision shall survive the termination of this Agreement.
(13) Indemnification:
As a condition of accessing and using the Dean platform and content, you agree to indemnify, defend, and hold harmless Dean, its affiliates, licensors, service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
You acknowledge and agree that no director, officer, employee, or agent of Dean (or any of its affiliates or Indemnified Parties) will be personally liable for any claim, liability, damage, loss, or expense arising out of or relating to your use of the Dean platform or content.
You shall use your best efforts to cooperate with Dean in the defense of any claim. Dean reserves the right, at its own expense, to employ separate counsel and assume the exclusive defense and control of the settlement and disposition of any claim that is subject to indemnification by you.
Survival of Indemnification:
This indemnification obligation shall survive the termination of these Terms of Use and your use of the Dean platform.
Acknowledgment and Agreement:
By using the Dean platform, you acknowledge and agree that you have read and understood this indemnification clause and agree to be bound by its terms.
(14) Disclaimers:
General Disclaimer:
Your use of Dean's annual membership to training courses, including the "premium" options, and any associated services, is at your own risk. Dean provides these services on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Refunds are not typically available except as outlined in the Cancellation and Refund Policy. Dean expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Content Disclaimer:
Dean offers a variety of content within the training courses, including custom videos, quizzes, writing assignments, and reading sections. While Dean strives to provide accurate and valuable content, Dean does not guarantee the accuracy, completeness, suitability, or reliability of the content. No Resemblance to Real Entities:
